Nomination and Remuneration Policy
The Board of Commissioners carries out nomination and remuneration functions to prepare for leadership succession and ensure the continuity of the Company’s leadership. The nomination process involves establishing policies and criteria for candidates for the Board of Directors and/or Board of Commissioners, conducting performance evaluations based on established indicators, and providing candidate recommendations to the General Meeting of Shareholders (GMS). All appointment and dismissal processes are carried out transparently through the GMS in accordance with applicable regulations.
Regarding remuneration, the Board of Commissioners sets the structure, policies, and amount of remuneration based on performance evaluations, financial conditions, and market practices. Remuneration proposals are submitted to the GMS for approval, with a collective limit of a maximum of 0.3% of the Company’s net sales.
