The implementation of Good Corporate Governance (GCG) continues to evolve in line with the dynamics of the business world, influenced by social and environmental changes as well as technological advancements. The Company recognizes the importance of GCG as a key strategy to ensure business sustainability and protect the interests of shareholders and other stakeholders.
The GCG Principle
All members of the Company uphold the principles of GCG: Ethics, Transparency, Accountability, and Sustainability, which are implemented as follows:
Ethical Conduct
The Company enforces policies of fair and equal treatment with zero tolerance for any form of discrimination. This approach fosters respectful and harmonious relationships with suppliers, employees, customers, shareholders, and all stakeholders. Business and operational decisions are made objectively, always prioritizing the Company’s interests. Transparency in the selection of senior management, supplier appointments, and third-party transactions is maintained to prevent conflicts of interest.
Transparency
The Company provides comprehensive and accessible information to shareholders through regular and timely publications. These include print and electronic media releases such as Quarterly Financial Reports, Semi-Annual Financial Reports, Audited Annual Financial Statements, Annual Reports, press releases, and investor updates.
Accountability
To uphold accountability, the Company implements a management system that includes regular reporting by the Board of Directors to the Board of Commissioners on annual budgets and financial performance evaluations. Reports from both the Board of Commissioners and the Board of Directors are also presented to shareholders during the Annual General Meeting. The Company’s Code of Ethics clearly defines the division of responsibilities and establishes Key Performance Indicators (KPIs) to ensure transparent and measurable performance assessments.
Sustainability
The Company conducts its business in full compliance with regulations, embraces social and environmental responsibilities, and upholds values that are aligned and free from conflicts of interest. These efforts support long-term business sustainability while reinforcing the Company’s reputation as a responsible corporate citizen.
